Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CloseFlow Ink platform, websites, and APIs (the “Service”) provided by CloseFlow Ink (“CloseFlow,” “we,” “us”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for keeping your credentials secure and for any activity under your account. Notify us at security@closeflowink.com immediately if you suspect unauthorized access.

2. Subscription & payment

The Service is offered on a subscription basis. Fees are billed in advance on a monthly or annual cycle as selected in the app and are non-refundable except where required by law. Taxes may be added based on your billing address. We may change pricing on 30 days’ notice; changes apply to the next renewal.

3. Acceptable use

You agree not to:

• Use the Service to send spam, harass, or message people without a lawful basis.
• Upload illegal content, malware, or material that infringes another’s rights.
• Reverse-engineer the Service or access it through automated means beyond the documented API.
• Violate the policies of channels you connect (Meta Platform Terms, Resend Acceptable Use Policy, Stripe Restricted Businesses).
• Resell or sublicense the Service without our written agreement.

4. Customer data

You retain all rights to data you and your end users submit to the Service (“Customer Data”). You grant CloseFlow a non-exclusive, worldwide license to process Customer Data solely to provide and improve the Service. Our handling of Customer Data is further described in our Privacy Policy.

5. Channels and third-party services

The Service integrates with third-party platforms (Instagram, Facebook Messenger, WhatsApp, email providers, Stripe, etc.). Your use of those services is governed by their own terms. CloseFlow is not responsible for third-party outages, policy changes, or actions taken by those providers against your accounts.

6. Payments via Stripe Connect

Deposits and payments to studios are processed through Stripe Connect. By using the payments feature you agree to the Stripe Connected Account Agreement and Stripe’s Services Agreement. Refunds, disputes, and payouts are subject to Stripe’s rules.

7. Suspension & termination

You may cancel at any time from Settings. We may suspend or terminate access with notice if you breach these Terms or if we are required to do so by law or by a third-party platform. On termination we will give you at least 30 days to export your data unless prevented by law.

8. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, CloseFlow disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, CloseFlow’s aggregate liability arising out of or relating to the Service will not exceed the fees you paid in the twelve (12) months preceding the event giving rise to the claim. In no event will CloseFlow be liable for indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You will defend, indemnify, and hold harmless CloseFlow from any claims by third parties arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of any law or third-party right.

11. Changes to these Terms

We may update these Terms. If a change is material we will notify account owners at least 14 days in advance by email or in-app notice. Continued use after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Delaware, except where applicable law grants you the right to bring suit in your local jurisdiction.
